In-House Legal Counsel
CTI Digital is an established full service digital agency, specialising in Digital Transformation with multiple in-house experts providing consultative expertise and delivering the highest quality product development, digital marketing and creative branding solutions to an array of national and international clients.
Due to continued and ambitious growth, we are looking for a commercially focused legal professional to join our team to strengthen our commercial contract engagements and assist with legal processes and compliance..
The In-House Legal Counsel will be responsible for overseeing all legal matters within the organisation, ensuring compliance, and providing expert legal advice across various areas. Your primary focus will encompass contract compliance, commercial contract and merger & acquisition engagements. This is a critical position within our digital agency, contributing to our legal strategy and ensuring our operations align with UK & International laws and regulations
What will my day look like?
- Provide legal guidance and support across all aspects of the business, ensuring compliance with applicable laws and regulations.
- Review, draft, and negotiate contracts, ensuring compliance with legal requirements and protecting the agency’s interests.
- Oversee contract compliance and monitor contract performance to mitigate legal risks.
- Support bid and tender submissions, ensuring compliance with legal and regulatory requirements.
- Assist in the evaluation of potential mergers and acquisitions, conducting due diligence, negotiating legal terms, and overseeing the legal aspects of the transactions.
- Ensure compliance with contract of services regulations for both full-time employees and contractors.
- Management of the Group’s risk register and implementation of risk mitigation actions
- Support the CFO in managing the Group’s insurance policies to ensure adequate cover in place.
- Develop a contract library in order to standardise contract wording.
- Work closely with all departments to ensure contracts entered into minimise risk for the business.
- Maintain a record of all contracts in a Contract management system or similar tool with a summary of key commercial terms.
- Collaborate with external legal counsel, as necessary, to obtain specialised legal advice and represent the organisation in legal proceedings.
- Stay updated on changes in laws, regulations, and industry trends relevant to the digital agency’s operations, providing proactive legal advice and recommendations.
- Develop and deliver legal training programs to enhance legal awareness and compliance within the organisation.
- Support the resolution of legal disputes and claims, working closely with internal stakeholders to achieve favourable outcomes.
- Provide legal advice and support in data protection, privacy, intellectual property, and other legal areas relevant to the digital agency’s operations.
Key Skills & Qualities
- Qualified solicitor or barrister with a current practising certificate in the UK.
- Proven experience practising law, preferably with in-house experience in a digital agency or a related industry.
- Strong knowledge of contract law, with proven experience in contract drafting, negotiation, and management.
- Familiarity with bid and tender processes, mergers and acquisitions, and employment law within the UK.
- Experience in handling UK visa sponsorship applications and ensuring compliance with immigration laws.
- Knowledge of contract of services regulations and compliance.
- Excellent research and analytical skills, with the ability to interpret complex legal documents and provide practical advice.
- Strong written and verbal communication skills, including the ability to communicate complex legal concepts to non-legal stakeholders.
- Proactive and solution-oriented mindset, with the ability to identify legal risks and provide strategic recommendations.
- Ability to work independently, manage multiple priorities, and meet deadlines.
- Experience working with external legal counsel and managing legal proceedings is desirable.
- Knowledge of data protection, privacy, and intellectual property laws is advantageous.
